Agreement and eligibility
By accessing or using Prime RP, you agree to these Terms. You represent that you have the authority to bind yourself or your organization to them. If you do not agree, do not access or use the service.
Services, subscriptions, and accounts
We provide access to our website, software, and related services as described in your order form or onboarding materials, with features that may be updated over time. Accounts must use accurate information and be secured with reasonable credentials.
Administrators manage provisioning and permissions within their organization's workspace. Pilot or beta features may be offered under modified conditions.
Customer data
Your organization retains rights to the data it submits. We receive only the rights necessary to host, process, transmit, back up, secure, and otherwise operate the service on your behalf. You must confirm you have the proper rights and permissions for any data you submit.
Acceptable use
- Violating applicable law
- Attempting unauthorized access to accounts, systems, or data
- Uploading malware or other harmful code
- Abusing communications features (spam, harassment, or impersonation)
- Misusing or reverse engineering the service
AI-assisted features
AI outputs may be incomplete or incorrect and should be reviewed by a human before you rely on them for consequential decisions regarding legal, employment, compliance, or financial matters.
Fees, invoicing, and payment
Commercial terms appear in your order form. Fees are non-refundable except where required by law.
Intellectual property and feedback
We retain all rights to Prime RP's software and design. Suggestions or feedback you submit may be used by us without obligation, unless a separate agreement states otherwise.
Confidentiality
Both parties agree to protect confidential information received from the other with reasonable care and to restrict its disclosure to those who require access.
Disclaimers
The service is provided on an “as is” and “as available” basis, and we disclaim implied warranties to the extent permitted by law.
Limitation of liability
Neither party is liable for indirect or consequential damages. Our aggregate liability arising out of these Terms will not exceed the amounts paid by you during the twelve months preceding the event giving rise to the claim.
Suspension and termination
We may suspend access in response to security threats, unlawful conduct, breaches of these Terms, unpaid fees, or misuse. You may stop using the service at any time, subject to any remaining contractual obligations.
Governing law and disputes
These Terms are governed by the laws of the United Arab Emirates. Both parties agree to attempt good-faith resolution of any dispute before pursuing formal proceedings.
Changes and contact
